On October 26, Anthropic, PBC announced that it had filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission for the proposed initial public offering of its Class A common stock.

Anthropic says it intends to list on the Nasdaq Global Select Market under the symbol 'ANT'. The number of shares and the price range have not been determined. Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are named as the sources for copies of the preliminary prospectus.

What it is, and is not

'A registration statement relating to these securities has been filed with the SEC but has not yet become effective.'

That line is from Anthropic's own notice, which adds that the securities may not be sold, and offers to buy may not be accepted, until the registration statement is effective. The announcement is not an offer to sell or a solicitation to buy, and it says nothing about specific models or products.

Why model watchers should care

A listed lab discloses on a different clock: audited figures, compute commitments and risk factors arrive in filings rather than blog posts. Coverage of what the prospectus contains is on our Live Wire, from TechCrunch and The Verge. We have not reproduced figures from the prospectus itself here.
